GENERAL TERMS AND CONDITIONS

FlexBase (Pty) Ltd – FinDR Online Platforms

These Terms and Conditions govern access to and use of the FinDR Online Platforms ("the Platform"), owned and operated by FlexBase (Pty) Ltd ("the Service Facilitator", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms.

1. RECITALS

1.1 The Platform is an online software-as-a-service system that facilitates introductions, scheduling, communication and related administrative processes between healthcare practices and independent personnel.

1.2 These Terms apply to all users, including Practices, Personnel and visitors.

1.3 The Service Facilitator may update these Terms from time to time. Updated versions will be published on the Platform.

1.4 Continued use of the Platform constitutes acceptance of the updated Terms.

2. DEFINITIONS

For purposes of these Terms:

Platform means the FinDR Online Platforms and any associated applications or systems.

Practice means any healthcare facility, business or organisation registered on the Platform.

Personnel means any independent professional or contractor registered on the Platform.

Services means services provided by Personnel to Practices.

Facilitation Fee means any fee charged by FlexBase (Pty) Ltd for use of the Platform or facilitation of engagements.

3. THE PLATFORM SERVICES

3.1 The Platform enables:

  • Profile creation
  • Availability management
  • Booking and scheduling
  • Communication and administration
  • Payment facilitation where applicable

3.2 The Service Facilitator provides software and facilitation services only and does not provide medical services.

4. RELATIONSHIP BETWEEN THE PARTIES

4.1 Nature of the Platform

The Service Facilitator provides an online technology platform and does not act as an employer, labour broker, recruitment agency, or healthcare provider.

4.2 Verification and Quality of Services

The Service Facilitator takes reasonable steps to verify identity, professional registration, and legal eligibility to practise of Personnel and may verify certain information provided by Practices.

However, the Service Facilitator:

  • does not supervise or control services delivered by Personnel or Practices
  • does not guarantee quality, safety, or outcomes of services
  • is not responsible for professional conduct or performance

Users are responsible for conducting their own due diligence before entering engagements.

4.3 Independent Contractor Status

Personnel providing services through the Platform do so as independent contractors.

Nothing in these Terms shall be interpreted as creating:

  • an employment relationship
  • a partnership
  • a joint venture
  • an agency relationship

Practices are solely responsible for determining suitability, supervision and compliance relating to Personnel engaged.

Personnel are solely responsible for:

  • tax obligations
  • statutory compliance
  • professional registration
  • insurance and licensing

The Service Facilitator bears no responsibility for payroll, benefits, employment obligations, or labour law compliance between Practices and Personnel.

5. PAYMENT AND FEES

5.1 Practices and/or Personnel may be required to pay license or facilitation fees as specified on the Platform.

5.2 Fees are generally non-refundable unless required by law.

5.3 Personnel remain responsible for their own tax obligations.

6. NON-CIRCUMVENTION

6.1 Users agree not to bypass the Platform to avoid fees or processes.

6.2 Where a Practice and Personnel first connect through the Platform, any engagement within 12 months will be deemed to have arisen through the Platform.

6.3 If circumvention occurs, the Service Facilitator may:

  • invoice applicable fees
  • recover reasonable enforcement costs

7. USER ACCOUNTS

7.1 Users must:

  • provide accurate information
  • keep login credentials secure
  • maintain updated account details

7.2 The Service Facilitator may suspend accounts for misuse or breach.

8. PLATFORM AVAILABILITY

The Service Facilitator strives to maintain reliable access but does not guarantee uninterrupted availability. Maintenance, technical issues or events beyond control may cause interruptions.

9. SECURITY

Users may not:

  • attempt unauthorised access
  • introduce malicious code
  • disrupt system integrity

Violations may result in termination and legal action.

10. INTELLECTUAL PROPERTY

All software, content, branding, and systems remain the property of FlexBase (Pty) Ltd or its licensors.

Users may not copy, reproduce, or distribute materials without written consent.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

The Service Facilitator shall not be liable for:

  • indirect or consequential losses
  • loss of profits or revenue
  • service interruptions beyond reasonable control

Liability, where applicable, is limited to the amount paid for Platform services.

12. DATA PROTECTION

FlexBase processes personal information in accordance with:

  • Protection of Personal Information Act (POPIA)
  • GDPR where applicable

Users agree to process any personal information obtained via the Platform lawfully and responsibly.

13. CONFIDENTIALITY

Users agree to keep confidential any non-public information obtained through the Platform.

14. THIRD-PARTY SERVICES

The Platform may include links or integrations with third-party providers. FlexBase is not responsible for their services or policies.

15. BREACH AND TERMINATION

The Service Facilitator may suspend or terminate accounts where users:

  • breach these Terms
  • misuse the Platform
  • engage in unlawful activity

16. FORCE MAJEURE

Neither party shall be liable for failure or delay caused by events beyond reasonable control including:

  • power outages
  • internet failures
  • natural disasters
  • cyber incidents
  • government actions

17. DISPUTE RESOLUTION

Parties agree to attempt resolution by negotiation before pursuing legal remedies.

These Terms are governed by the laws of the Republic of South Africa.
